Product Terms

These Product Terms describe the license, delivery, support, and operational terms that apply when you use the platform. They supplement our Terms of Service and Privacy Policy.

1. Overview

The platform provides a cloud-based business management solution (the "Service") including inventory management, sales, reporting, and integrations. These Product Terms explain the rights and responsibilities of the platform provider and customers with respect to access, usage, support, billing, security, and data handling.

2. License grant

Subject to your compliance with these Product Terms and the master Terms of Service, the platform provider grants you a limited, non-exclusive, non-transferable right to access and use the Service for your internal business purposes during the subscription term. You may not sublicense, resell, or make the Service available to third parties except as expressly permitted in writing.

All intellectual property rights in the Service (including software, documentation, and trademarks) remain the property of Inventorygram or our licensors. You retain ownership of any data you upload or submit to the Service.

3. Access requirements

Customers are responsible for providing and maintaining the necessary hardware, internet connectivity, and compatible browsers or client software to access the Service. You are responsible for all activity occurring under your account and must keep authentication credentials secure.

Customers must ensure that users meet any minimum system requirements specified by Inventorygram and that use of the Service complies with applicable laws and regulations.

4. Support & SLA

Support levels vary by subscription plan. Our standard support includes email and ticket-based support during business hours. Premium and enterprise plans may include prioritized response times and dedicated support channels.

Inventorygram will use commercially reasonable efforts to respond to and resolve support requests according to the SLA associated with your plan. We may update SLAs from time to time; material SLA changes will be communicated to affected customers.

5. Service availability & maintenance

Inventorygram aims to provide high availability for the Service, but factors beyond our control (network outages, third-party service failures, force majeure) may impact availability. We perform scheduled maintenance and occasional emergency maintenance to apply security updates and improvements.

6. Data ownership & usage

Customers retain ownership and control of their data submitted to the Service. Inventorygram acts as a processor and only processes data according to your instructions and our contractual agreements.

We may use aggregated and anonymized usage data to improve the Service, develop features, and analyze trends; such aggregated data does not identify individual customers or users.

7. Security & compliance

Inventorygram implements industry-standard technical and organizational measures to protect customer data, including encryption in transit (TLS) and at rest, access controls, monitoring, and regular security testing. We maintain policies and procedures to manage vulnerabilities and incidents.

Customers with compliance requirements (e.g., GDPR, UK GDPR, Swiss FADP, NDPR) should review our Data Processing Addendum and EU/Swiss Privacy Policy for details on data handling, international transfers, and subprocessors. We provide reasonable assistance to customers for data subject requests and regulatory inquiries.

8. Acceptable use

Customers must not use the Service to store or transmit illegal content, infringing material, personally identifiable information beyond the permitted scope, or any content that violates our Acceptable Use Policy. Users must not attempt to gain unauthorized access to the Service or interfere with platform operations.

Inventorygram reserves the right to suspend or terminate accounts that violate acceptable use rules, and to take any necessary actions to protect the platform and other customers.

9. Billing & payments

Billing terms (pricing, invoicing, payment methods) are specified on your subscription order or invoice. Customers must provide accurate billing information and timely payment. Failure to pay may result in suspension of the Service.

Payment processors (e.g., Flutterwave, Paystack) are independent providers; their terms and privacy practices apply to payment transactions. Inventorygram does not store full payment card data; card processing is conducted by our PCI-compliant partners.

10. Trial, refunds & credits

Trial periods, refund eligibility, and credits are governed by the specific offer or plan you select. Refunds are provided at Inventorygram's discretion and subject to the terms of the purchase. For billing disputes, contact our support or legal team for review.

11. Termination & suspension

Either party may terminate the subscription in accordance with the agreed contract and billing terms. Inventorygram may suspend or terminate access for violations of these Product Terms, non-payment, or security concerns.

Upon termination, we will, at the controller's direction, delete or return customer data in accordance with our Data Processing Addendum. Customers should export their data prior to termination; Inventorygram may provide a grace period for data export where feasible.

12. Warranties & disclaimers

Inventorygram provides the Service "as is" except where a separate warranty is provided in a written agreement. We disclaim all implied warranties to the fullest extent permitted by law, including merchantability, fitness for a particular purpose, and non-infringement, except where prohibited by applicable law.

13. Limitation of liability

To the maximum extent permitted by law, Inventorygram's liability arising from or related to these Product Terms or the Service is limited to direct damages up to an amount equal to the fees paid by the customer in the 12 months preceding the claim. We are not liable for indirect, incidental, consequential, or punitive damages.

14. Changes to Product Terms

Inventorygram may update these Product Terms to reflect changes in the Service, legal requirements, or operational practices. For material changes that affect customers, we will provide at least 30 days' notice and an option to review the updated terms. Continued use after the notice period constitutes acceptance of the updated terms.
